Terms of Service
Last updated: November 4, 2026
These Terms describe the current client agreement. If you signed an agreement before the date above, the version you signed controls wherever it differs from this page, and it changes only by a written amendment you accept.
1. Custom Services
All services provided by Flow State AI are custom-quoted individually based on your specific operational requirements. The features, timelines, and deliverables for your project are defined exclusively in your custom written proposal.
2. Payment Terms
Invoicing: Payments are made through Stripe, our payment processor, using secure checkout links in your client portal or Stripe invoices. Card and bank details are entered on Stripe and are never stored by Flow State AI.
Setup Fees: The custom build sequence initiates upon successful payment of the one-time setup fee invoice. This fee is non-refundable after the three-business-day cancellation window described in Section 3.
Monthly Support: Monthly fees cover routine maintenance, bug fixes, monitoring, and direct developer access during normal Texas business hours (Mon–Fri, 9:00 a.m. – 5:00 p.m. Central). Monthly billing begins on the start date confirmed in your signed agreement — typically 30 days after the setup fee is paid, to allow for the build and deployment phase.
Hosting and third-party costs: While Flow State AI operates the development and hosting environment it controls — that is, before handoff of the project into your own hosting account — the cost of that environment is covered by your monthly fee. Third-party accounts held in your own name are yours and are passed through at cost if your tool uses them: domains, API usage, LLM tokens, SMS and telephony, and your own hosting account once handoff has happened. The current client agreement states this the same way.
Cancellation: You may cancel monthly support at any time with no long-term commitment by giving written notice to Flow State AI. Cancellation takes effect at the end of your current paid billing cycle. After cancellation, access to tools hosted in the environment Flow State AI controls will be terminated. Termination of that access does not affect your ownership of the custom source code and application built for you, or your right under the current client agreement to request a copy of that code, an export of your data, and any documentation already prepared for your tool.
3. Refund & Cancellation Policy
Setup fee — three business day refund window. You may cancel your agreement and receive a full refund of the setup fee by sending written notice to Flow State AI within three (3) business days after you sign your agreement. After that window closes, the setup fee is fully earned and non-refundable, because build work, tooling, and scheduling are committed at that point.
Monthly support fees — non-refundable, cancel anytime. Monthly support fees are non-refundable and are not prorated for client-initiated cancellations. You may cancel at any time with written notice; cancellation takes effect at the end of the billing period already paid for. No cancellation penalty and no long-term commitment.
By paying an invoice, you acknowledge and agree to this policy. If you have questions about what is included before purchasing, contact us prior to submitting payment.
Disputes & Chargebacks: Initiating a chargeback or payment dispute in violation of this policy constitutes a breach of these Terms. Flow State AI reserves the right to immediately terminate all services and pursue recovery of disputed amounts plus any associated fees.
4. Intellectual Property
Once the setup fee and all then-due amounts are paid in full, the custom source code and application built specifically for your business belong to you, including the copyright in it. Flow State AI retains ownership of its own tools, frameworks, templates, libraries, methods, and general know-how — you receive a perpetual, royalty-free license to use those components as embedded in your software. Flow State AI may reuse general code patterns, architectures, and standard automations to service other clients.
5. Continuity
Flow State AI is a single-operator business. The current client agreement includes a continuity section — Section 12 — covering what happens to your source code, your data, and your project documentation if Flow State AI cannot continue operating. Its terms are set out in that agreement rather than repeated here, so that the two documents cannot drift apart. Ask for the section before you sign and you will receive it in full; if your signed agreement predates it, you may request it as a no-cost addition.
6. Disclaimer of Outcomes
While our tools are designed to increase efficiency and convert leads, we make no guarantee of specific financial outcomes, lead volumes, or business success resulting from the use of our software. Operational success relies on many factors outside of the software we provide.
7. Limitation of Liability
Flow State AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or operational capacity, resulting from the use or inability to use our tools.
8. Governing Law
These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
